Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Vellumarc ("VELLUMARC", "we", "us", or "our"). By creating an account, accessing, or using www.vellumarc.com or the Campus platform at https://campus.vellumarc.com, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use our services.

Campus is a school fee management SaaS that helps schools manage student fee structures, collect payments, generate receipts, and send fee-related communications to parents and guardians, including via the WhatsApp Business Platform operated by Meta Platforms, Inc.

We may add, modify, or discontinue features at any time. Material changes that reduce functionality you rely on will be communicated with reasonable notice.

To use Campus you must:

• Be at least 18 years of age
• Be authorized to act on behalf of the school, education institution, or organization for which the account is opened
• Provide accurate, complete, and current information when creating the account
• Comply with all applicable laws of India and any other jurisdiction in which you operate

• You are responsible for maintaining the confidentiality of your credentials
• You are responsible for all activity that occurs under your account, including actions taken by users you invite
• You must notify us immediately of any unauthorized access or breach
• We may require additional verification (KYC, business proof) before enabling billing or WhatsApp messaging features

You agree not to:

• Send spam, unsolicited marketing, or any message that violates Meta's WhatsApp Business Policy or Commerce Policy
• Impersonate another person, business, or institution, or misrepresent your affiliation with one
• Upload, store, or transmit unlawful, defamatory, or infringing content
• Attempt to scrape, reverse engineer, or otherwise circumvent the security or rate limits of our service
• Use Campus to process the personal data of recipients without a lawful basis under the DPDP Act 2023 or other applicable law
• Resell, sublicense, or white-label the service without our written consent

When you use the WhatsApp messaging features in Campus, you act as the sender of the messages. You agree to comply with:

• Meta's WhatsApp Business Policy
• Meta's WhatsApp Commerce Policy
• The Telecom Commercial Communications Customer Preference Regulations (TCCCPR) where applicable
• The DPDP Act 2023 and other applicable Indian privacy laws

You confirm that you have a lawful basis (typically the school relationship with the guardian) to message recipients, and that you do not send marketing messages without explicit opt-in. Vellumarc reserves the right to suspend or terminate accounts that violate these rules, including in response to enforcement actions or policy violations notified by Meta.

Campus is offered on a subscription basis. WhatsApp messaging is metered through a credit system; credits are consumed when messages are sent and are billed to the account that triggered them.

• Pricing, plans, and credit rates are published in-app and may change with notice
• Subscription fees and credit purchases are non-refundable except where required by law
• Failed payments may result in suspension of messaging features until the balance is settled
• Taxes (GST and any other applicable indirect taxes) are charged in addition to listed prices

For data uploaded by a school into Campus (including student, guardian, and payment data), the school is the data fiduciary / controller and Vellumarc is the data processor. The school is responsible for:

• Obtaining all necessary consents (including parental consent for minors)
• Ensuring the accuracy of uploaded data
• Responding to data-subject requests from its students and guardians

We may suspend or terminate your account, with or without notice, if:

• You materially breach these Terms or our Privacy Policy
• We receive a takedown, suspension, or enforcement notice from Meta or another competent authority
• Your activity poses a security or legal risk to us, our users, or recipients
• Your account is inactive for a prolonged period (we will attempt to notify you first)

You may cancel your subscription at any time from your account settings. After termination, we will retain or delete your data in accordance with our Privacy Policy.

Our IP. Vellumarc, VELLUMARC, Campus, the www.vellumarc.com and https://campus.vellumarc.com domains, our logos, and the underlying software are owned by Vellumarc or our licensors. Nothing in these Terms transfers ownership to you. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for the duration of your subscription.

Your data. All data you or your school uploads (student records, fee data, message templates, branding) remains yours. You grant us the limited rights necessary to host, process, and transmit that data so we can operate the service.

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee uninterrupted availability and we are not responsible for delivery failures, delays, or limits imposed by Meta, telecom carriers, or payment gateways.

To the maximum extent permitted by applicable law:

• We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption
• Our aggregate liability for any claim arising out of or relating to the service is capped at the total fees you paid us in the 12 months preceding the event giving rise to the claim
• These limits apply even if a remedy fails of its essential purpose, and regardless of the theory of liability (contract, tort, statute, or otherwise)

You agree to indemnify and hold harmless Vellumarc, our affiliates, and our employees from any claim, damage, loss, liability, cost, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) the content you upload or messages you send through Campus; or (d) misuse of the service by users you invite.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to any statutory consumer protection rights, the courts at [PLACEHOLDER — jurisdiction city] shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.

We may update these Terms from time to time. For material changes we will provide at least 30 days' notice via email or in-app notice. Continued use of the service after the effective date of the updated Terms constitutes acceptance of the changes.
